Terms of Service

The short version: Stubsmith is a free browser tool for creating your own business documents. You own what you create and you're responsible for its contents. We provide the tool as-is, and we don't process payments between you and your clients.

1. Agreement

These Terms of Service ("Terms") are an agreement between you and GridHome Group LLC ("GHG," "we," "us"), a New York limited liability company, governing your use of Stubsmith at stubsmithapp.com (the "Service"). By using the Service, you agree to these Terms. If you don't agree, don't use the Service.

2. The Service

Stubsmith lets you create estimates, invoices, and receipts as PDF documents in your browser. The core generator is free and requires no account. Documents and business information you enter are stored locally on your device, not on our servers. Optional AI-assisted features process the content you submit through our API to return a result.

3. Your documents, your responsibility

You own the documents you create. You are solely responsible for their contents and use, including:

Features like the sales-tax rate lookup are conveniences based on available data and may be incomplete or out of date. They are not tax, legal, or accounting advice. Verify rates and requirements with your own advisor or taxing authority.

4. Payments between you and your clients

If you add a payment link (e.g., Stripe, Square, PayPal) to a document, that transaction is solely between you, your client, and your payment provider. Stubsmith does not process, hold, transmit, or guarantee payments, and we are not a party to your client relationships or disputes.

5. Acceptable use

You agree not to use the Service to create fraudulent, deceptive, or unlawful documents; to infringe anyone's rights; to attempt to disrupt, overload, or reverse-engineer the Service or its API; or to resell access to the Service. We may limit or block access that we reasonably believe violates these Terms or harms the Service.

6. Free tier and Pro

The core generator is free. Some features are described as part of "Stubsmith Pro," a paid tier. Where Pro is offered as a waitlist, joining the waitlist creates no obligation on either side. Pro pricing and features may change before launch. If you later purchase Pro, additional terms may apply at that time.

7. Intellectual property

The Service — its code, design, name, and logo — belongs to GHG and its licensors. These Terms don't grant you any right to use the Stubsmith or GridHome Group names or logos. Your document contents remain yours.

8. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that locally stored data will never be lost. Back up documents that matter — your browser storage is under your control, not ours.

9. Limitation of liability

To the fullest extent permitted by law, GHG will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities, arising from your use of the Service. To the extent any liability is not lawfully excludable, our total liability for all claims relating to the Service is limited to one hundred US dollars ($100) or the amount you paid us in the twelve months before the claim, whichever is greater.

10. Indemnity

You agree to indemnify and hold GHG harmless from claims arising out of the documents you create, your business transactions with your clients, or your violation of these Terms.

11. Changes and termination

We may modify or discontinue the Service or these Terms at any time. If we materially change the Terms, we'll update the date above and note the change on the site. Continuing to use the Service after a change means you accept it.

12. Governing law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in New York, and you consent to their jurisdiction.
